Nuburu, Inc. has filed a Form 12b-25 indicating it will be late in submitting its Form 10-Q (Quarter Report) for the quarter ended March 31, 2026. The delayed filing concerns the company’s Quarterly Report on Form 10-Q (Quarter Report) covering the first quarter of 2026.

The company cites an intense period of M&A and capital markets activity as the main reason for the delay. During Q1 2026, Nuburu completed several complex transactions in Italy and elsewhere and initiated a significant financing round.

Specifically, Nuburu acquired all of Lyocon S.r.l., gained control of Orbit S.r.l., and took an initial stake plus a large convertible facility and further rights in Tekne S.p.A. It also purchased shares in Heckler & Koch AG via a subordinated convertible note and entered a joint venture with Maddox Defense Incorporated.

The company further agreed to subscribe to bonds issued by Supply@ME Stock Company 3 S.r.l. and executed a best-efforts public offering of common stock, pre-funded warrants, and additional warrants. It also issued pre-funded warrants to Indigo Capital LLC in exchange for preferred stock, adding to the transaction load.

Management explains that the complexity and volume of these transactions, combined with the integration of newly acquired businesses, have demanded substantial time from both internal staff and the independent auditor. This has slowed the preparation of all information needed for the auditor’s review of the Q1 2026 Form 10-Q (Quarter Report).

Nuburu has invoked the standard SEC grace period for late filings and expects to submit its Q1 2026 Form 10-Q (Quarter Report) within the five-calendar-day extension allowed under Rule 12b-25. Investors should therefore anticipate the full quarterly report shortly after the original due date.

The company also signals that its first-quarter 2026 results will show a significant positive change versus the same quarter in 2025. These improvements are expected to stem largely from the newly completed transactions, which were absent from last year’s figures.

However, Nuburu notes that, due to the complexity of the deals and its limited staff, it cannot yet provide a reliable quantitative estimate of the quarter’s financial performance. Any expectations about improved results are forward-looking and depend on final accounting, integration progress, and auditor review.

The company affirms that it has filed all other required periodic reports over the past 12 months and is working to remain in full SEC compliance. The notification was signed on May 18, 2026, by Executive Chairman and Co-Chief Executive Officer Alessandro Zamboni, formally committing to complete the delayed filing within the extension window.
