Nokia has convened its annual general meeting for 9 April 2026 in Helsinki, offering shareholders the option to attend in person, vote in advance and follow proceedings via a webcast, though remote viewing will not confer formal participation rights. The board proposes that no dividend be decided directly by the AGM for the 2025 financial year, but instead seeks authorization to distribute up to €0.14 per share in up to four installments from retained earnings and/or the invested unrestricted equity reserve between 2026 and early 2027, while also maintaining current levels of board remuneration and meeting fees with a significant portion paid in Nokia shares. The company is proposing a 10-member board, with chair Sari Baldauf stepping down and current members largely standing for re-election alongside new candidate Meredith Whittaker, who will be classified as non‑independent due to a separate advisory role with Nokia Bell Labs; the nominations committee plans to back Timo Ihamuotila as the next chair and Thomas Saueressig as vice chair, subject to their election. Shareholders will also vote on discharging directors and the CEO from liability for 2025, giving an advisory say on the 2025 remuneration report, and reappointing Deloitte Oy as auditor for the 2027 financial year, aligning the company with standard Finnish corporate governance and reinforcing continuity in board composition and oversight structures.
