Nocera ( (NCRA) ) has shared an update.
On June 5, 2025, Nocera, Inc. entered into a Stock Purchase Agreement to acquire 1,750 shares of Tachyonext Inc. for $500,000, with the transaction expected to close by June 30, 2025. The agreement includes rights for Nocera to appoint a non-voting observer to Tachyonext’s board and a put option to sell shares back to Tachyonext or its parent company. Additionally, Nocera has rights of first refusal and consent rights over future equity issuances by Tachyonext. On the same day, Nocera agreed to sell its entire equity interest in Hangzhou SY Culture Media Co., Ltd. to Yuechi Technology Limited for $550,000, payable in three installments. Gui Zhou Grand Smooth Technology Co., Ltd., a Nocera subsidiary, will handle all pre-transfer liabilities, while Yuechi Technology will assume post-transfer liabilities.
