Nihon M&A Center Holdings will transfer its fund business to a newly created wholly owned subsidiary, J-Capital Inc., via a simplified incorporation-type company split effective April 1, 2026, establishing J-Capital as an intermediate holding company for its fund operations. The move is designed to clarify authority and performance responsibility across group companies, accelerate decision-making, cultivate management talent, and coordinate a unified group strategy to better allocate resources, leverage synergies, and position the fund business as a strong second pillar alongside its core M&A activities.
Under the restructuring, J-Capital will assume all assets, liabilities, contracts, and related rights and obligations of the fund business, with 6,000 new shares issued to Nihon M&A Center Holdings and no change to the parent’s capital. Management expects no issues in fulfilling obligations after the split, indicating a low operational risk transition while aiming to enhance overall group corporate value and strengthen the competitiveness of its fund platform in the broader M&A ecosystem.
