Nihon M&A Center ( (JP:2127) ) has provided an update.

Nihon M&A Center Holdings has resolved to introduce a performance-based stock compensation plan for its directors, excluding Audit and Supervisory Committee members, outside directors, and non-residents of Japan, with similar schemes to be adopted by certain subsidiaries. The plan, subject to shareholder approval in June 2026, is designed to more closely link executive pay to the company’s stock value, aligning directors’ interests with shareholders and encouraging medium- to long-term performance improvement.

The scheme will use a Board Incentive Plan trust structure that acquires company shares on the market or via treasury stock disposal, then delivers shares and cash equivalent to directors based on position and achievement of performance targets. By involving an independent-leaning Remuneration Advisory Committee and suspending voting rights on shares held in trust, the company aims to enhance fairness and transparency in its compensation governance while reinforcing incentives for sustainable corporate value growth.
