News Corporation Shs B Chess Depository Interests repr 1 Sh ( (AU:NWS) ) has provided an announcement.

News Corporation has updated the market on its previously announced 2025 Repurchase Program, which authorizes the company to buy back up to an aggregate of US$1 billion of its Nasdaq-listed Class A and Class B common stock. The latest Appendix 3C filing, lodged with the ASX, confirms that the buy-back is classified as an “other” buy-back structure, reflecting the company’s status as an entity established outside Australia.

Under the program, News Corp intends to repurchase shares from time to time in the open market or through other avenues, subject to market conditions, share price levels and other internal considerations. The company has made clear that no ASX-listed CHESS Depositary Interests will be repurchased under this initiative, meaning the capital management actions will be focused solely on the U.S.-listed common stock classes and will not directly reduce the CDI float on the ASX.
