New Hope Corporation Limited has launched an offer of fully paid, unsecured, unsubordinated convertible notes to raise approximately A$300 million, with the notes convertible into ordinary shares or, at the company’s discretion, settled in cash. The notes will be issued as debt obligations without a prospectus under Australian Corporations Act provisions, increasing New Hope’s total liabilities by the principal amount issued while providing flexibility to manage its capital structure through either equity conversion or cash settlement.

If the notes are converted into ordinary shares, New Hope’s liabilities would be reduced by the amount converted and up to 55,374,701 new shares could be issued, potentially diluting existing shareholders but strengthening the balance sheet. Alternatively, if the company elects cash settlement on conversion, liabilities would fall by the principal amount while assets decline by the corresponding cash outlay, illustrating the trade-off between leverage reduction and liquidity that investors and other stakeholders will need to consider in assessing the impact of this financing on the company’s financial profile.
