The latest update is out from New Era Energy & Digital ( (NUAI) ).

On April 8, 2026, New Era Energy & Digital’s subsidiary Texas Critical Data Centers LLC entered into a senior secured term loan agreement of up to $290 million with Macquarie Equipment Capital, maturing in 2029 and structured across multiple tranches with SOFR-based interest and a fully earned MOIC premium. Proceeds will refinance debt, fund general corporate needs, and finance construction and equipment for the company’s flagship data center, with the facility secured by substantially all borrower assets and conditioned on milestones such as a $30 million underwritten equity raise and timely execution of a data center lease.

In connection with the financing, the company will issue Macquarie up to 1,164,144 warrants exercisable in cash through 2031 and sell 1,000,520 common shares at $5.00 per share, supported by a registration rights agreement for resale of these securities. The company also disclosed that a federal securities class action was filed on April 1, 2026 over alleged securities law violations, and updated risk factors highlighting its heightened leverage, refinancing and covenant-default risks, exposure to short-selling-driven volatility and litigation costs, and potential project delays stemming from power supply and grid interconnection constraints.
