New Century Healthcare’s subsidiary, BNC Children’s Hospital, has entered into a service agreement with BHC to provide examination and laboratory testing services on a case-by-case basis. This arrangement is set to last for three years, starting from January 1, 2024, to December 31, 2026, and is expected to exceed the exemption threshold for service fees for the fiscal year ending December 31, 2024. These transactions fall under the continuing connected transactions category and will adhere to specific reporting and review requirements, excluding the need for independent shareholder approval.
