MTT Group Holdings Limited has resolved a prolonged legal dispute involving a winding-up petition against its wholly owned subsidiary Tritech by reaching a settlement with the petitioner. The case, which centred on an alleged outstanding US$45 million claim and related proceedings in both Hong Kong and Singapore, had been ongoing for around eight months and created uncertainty over the subsidiary’s position.
Under the settlement agreement, Tritech will pay a settlement amount that is substantially lower than both the original claim and the US$22.5 million security previously ordered by the Hong Kong court. In exchange, the petitioner will withdraw the winding-up petition and Tritech will discontinue its Singapore proceedings, which the company believes will limit further legal costs and prolonged disruption.
The settlement will be funded entirely from the group’s internal resources and will significantly reduce its consolidated cash balance, though management says the overall cash position will remain positive after payment. The board is still assessing the full financial impact on the group, signalling that while the deal removes a major legal overhang, investors should remain cautious as the final balance-sheet implications are not yet fully disclosed.
