On April 14, 2026, Monroe Capital Corporation completed an asset sale and a series of mergers that led to the full repayment and termination of its Second Amended and Restated Senior Secured Revolving Credit Agreement with ING Capital LLC, eliminating all outstanding obligations under that facility. In connection with closing the mergers, the company also terminated its investment advisory and management agreement with Monroe Advisor and its long-standing administration agreement with Monroe Capital Management Advisors, LLC, indicating a broad restructuring of its advisory and operational framework.

Following the consummation of the mergers on April 14, 2026, Monroe Capital Corporation notified Nasdaq of the transaction, requested the delisting of its common stock, and moved to deregister its shares and suspend its reporting obligations under the Securities Exchange Act of 1934. At the effective time of the merger, all existing officers and directors resigned without any disagreement over company matters, and the leadership of the merger subsidiary assumed management roles, effectively transferring corporate control and signaling a transition from a publicly listed, externally managed entity to a privately controlled structure.
