Monex Group plans to overhaul its shareholder meeting framework by introducing the option of virtual-only general meetings, allowing all shareholders to participate online, exercise voting rights and ask questions under the same conditions regardless of location. The company also proposes expanding eligibility for meeting conveners and chairs beyond the representative executive officer to clarify the separation of supervisory and executive roles and enhance transparency in corporate governance.
The group will shift the record date for voting rights at its ordinary general meeting from March 31 to June 30 and move the meeting timing to around September each year, while leaving dividend record dates unchanged. Management expects the later schedule to give investors more time to review the Annual Securities Report and other disclosures, supporting more substantive discussion at meetings, with the amended record date rules taking effect on July 1, 2026 and applying first to the June 30, 2027 record date.
