On April 30, 2026, Modine Manufacturing Company and Airedale International Air Conditioning amended their existing credit agreement with a syndicate of lenders led by JPMorgan Chase to facilitate the planned separation, disposition, and spin-off of Modine’s Performance Technologies business under a merger agreement signed on January 29, 2026. The amendment allows a newly created subsidiary to incur debt whose proceeds will be held in escrow for the transaction, loosens certain covenants to permit related investments, asset transfers, and affiliate dealings, and requires that 100% of the net debt proceeds be used to prepay loans once the escrow is released, clarifying the financing structure and balance-sheet implications of the Performance Technologies spin-off for lenders and other stakeholders.
