Mobix Labs ( (MOBX) ) just unveiled an announcement.

On May 13, 2026, Mobix Labs amended its securities purchase agreement and senior secured convertible promissory note with Leviston Resources, increasing the note’s principal from $3 million to $4 million in exchange for an additional cash advance of $833,333. On the same date, the company entered into an Investor Rights Agreement granting Leviston the right to acquire up to an additional $4 million of secured convertible notes over seven months on terms substantially similar to the original instrument.

Between May 12 and May 18, 2026, Leviston converted the entire $4 million of principal under the original note, as amended, plus accrued interest, into 2,500,000 shares of Mobix Labs’ Class A common stock, satisfying the note in full through equity conversion. On May 18, 2026, following this full conversion and repayment, the original note, the amended securities purchase agreement, and the related registration rights agreement were terminated, simplifying the company’s capital structure and fully shifting this tranche of financing from debt to equity.

Spark’s Take on MOBX Stock

According to Spark, TipRanks’ AI Analyst, MOBX is a Neutral.

The score is driven primarily by weak financial performance: declining revenue, extremely large operating losses, continued free-cash-flow burn, and a constrained balance sheet with notable leverage and periods of negative equity. Technical indicators add further pressure with the stock trading well below major moving averages and negative MACD/soft RSI. Valuation provides limited offset given negative earnings and no dividend yield data.
