Mizuho Financial Group ( (JP:8411) ) has issued an announcement.

Mizuho Financial Group’s board has formally opposed a shareholder proposal ahead of its June 26, 2026, ordinary general meeting, where two shareholders jointly sought to amend the Articles of Incorporation regarding risks tied to potentially consolidating Orient Corporation. The board argues it already prepares fair consolidated financial statements under Japanese GAAP, subject to independent and audit committee review, and that detailed assumptions about a specific equity-method affiliate do not belong in the Articles.

The proposal would have required disclosure of hypothetical estimates premised on Orient Corporation becoming a consolidated subsidiary, but directors warn such speculative disclosure could mislead investors into thinking a decision has been made. Mizuho says it determines consolidation rigorously under Accounting Standards Board of Japan rules, notes personnel decisions at Orient remain its own, and maintains that prescribing disclosure on a single listed affiliate in the Articles is inappropriate and could create confusion over regulatory and risk metrics.
