Mitsui Kinzoku Co ( (JP:5706) ) just unveiled an announcement.

Mitsui Kinzoku Co., Ltd. will absorb its wholly owned subsidiary Takehara Kousan Co., Ltd. in an absorption-type merger effective July 1, 2026, with Mitsui Kinzoku as the surviving entity and no new shares or cash consideration issued. The integration aims to unify management of ancillary operations around the Takehara Refinery, streamline personnel deployment and safety and health oversight, and improve organizational cohesion and operational efficiency in line with the group’s human capital management strategy.

Takehara Kousan, which manages welfare facilities, real estate leasing, and other support functions for the refinery, will be merged under a simplified and short-form procedure that does not require shareholder meetings at either company. The move is expected to reduce administrative complexity between the parent and subsidiary, aligning support activities more closely with core manufacturing operations and potentially enhancing cost efficiency and governance across Mitsui Kinzoku’s domestic asset base.
