Mitsubishi Steel Mfg.Co., Ltd. ( (JP:5632) ) just unveiled an update.

Mitsubishi Steel Mfg. Co., Ltd. plans to continue and partially revise its performance-linked stock compensation plan for directors and certain executive officers as it transitions to a company with an Audit and Supervisory Committee, subject to shareholder approval in June 2026. The revisions are designed to keep remuneration at market-competitive levels, adjust maximum company contributions and share issuance limits, and update performance-linked indicators in line with the 2026 Mid-term Business Plan, which targets higher PBR, stronger ROIC-based management, and enhanced shareholder returns.

The plan will continue to use a Board Incentive Plan trust structure, under which a trust funded by the company acquires Mitsubishi Steel shares on the market and later delivers those shares or equivalent cash to eligible directors and executive officers as compensation. Voting rights on shares held in the trust will not be exercised, and the company expects the revised scheme to better align management incentives with long-term corporate value creation, cash flow generation, financial soundness, and the pursuit of a sustainable society, with remuneration levels benchmarked against external market data.
