Mitsubishi Materials ( (JP:5711) ) just unveiled an update.

Mitsubishi Materials has announced a slate of director candidates to be submitted to its June 2026 annual shareholders meeting, including the reappointment of six outside directors and the addition of Jason Frank as a new outside independent director. President and CEO Tetsuya Tanaka and Managing Executive Officer and CFO Kayo Hirano will continue as directors, with Hirano becoming a Representative Executive Officer from April 1, 2026, and Managing Executive Officer and CHRO Makiko Nogawa being newly appointed as a director.

Following board approvals, the company has also set candidates for chair of the board and for the nomination, audit, and remuneration committees, and will dissolve its Sustainability Committee after the shareholder meeting as part of broader governance reforms. The moves suggest a shift toward a more streamlined committee structure and strengthened oversight by independent directors, which could influence strategic decision-making and align the company’s governance practices more closely with global standards and stakeholder expectations.
