On April 3, 2026, Mativ Holdings, Inc. refinanced and restructured its existing credit facilities by entering into a ninth amendment to its multicurrency credit agreement, creating an aggregate of about $894.9 million in revolving and term loan commitments. The package includes a $305 million revolving credit facility with euro and sterling sub‑facilities, $89.9 million in Term A Loans, and $500 million in Term B Loans, while eliminating a delayed‑draw term loan feature.

As part of the refinancing, three subsidiaries became additional U.S. borrowers and another subsidiary became a guarantor, broadening the credit support within the group. The amended agreement sets interest margins tied to Mativ’s Net Debt to EBITDA ratio for the revolver and Term A Loans, fixes higher margins on Term B Loans, and stages covenant requirements that tighten leverage and interest coverage tests over the next two years.

The revolving and Term A facilities will mature five years from the amendment’s effective date or earlier if the company’s 8.000% Senior Notes due 2029 approach maturity, while the Term B Loans carry a seven‑year tenor with a similar springing maturity tied to those notes. These terms are designed to extend Mativ’s debt ladder, reinforce covenant discipline, and provide greater certainty around liquidity and refinancing risk for lenders and other stakeholders.
