Mare Engineering Group SpA ( (IT:MARE) ) has provided an announcement.

Mare Group’s board has approved the launch of a share buy-back and disposal programme, authorising the repurchase of up to 3,867,050 shares within 18 months to support market liquidity, build a treasury share pool for strategic transactions and fund existing and future incentive plans. The programme, to be executed by MIT SIM as an independent intermediary, will be conducted within regulatory limits and available reserves, and complements the company’s existing holding of 59,562 treasury shares.

The board also confirmed that 2025 performance targets under the 2024-2027 and 2025-2027 stock option and stock grant plans were achieved based on pro-forma adjusted consolidated figures reflecting Mare Group’s external growth and IFRS transition, reinforcing management’s alignment with shareholders. In addition, the directors verified the independence of non-executive board members Valeria Conti and Francesco Grillo, and authorised director Maurizio Ciardi to formalise Mare Group’s role as lead party in a reconstituted temporary association of companies, ensuring continuity of a significant multi-year framework agreement following the merger of La SIA into Mare Group.
