Mare Engineering Group SpA ( (IT:MARE) ) has shared an update.
Mare Group’s shareholders have approved an expansion of the board of directors from five to seven members, appointing former La SIA chief executive Maurizio Ciardi and major shareholder Valerio Griffa, and increasing total board compensation to €775,000 a year. The move fulfils governance commitments linked to the La SIA acquisition and is designed to strengthen decision-making and avoid deadlocks as the enlarged group integrates recent deals. In extraordinary session, shareholders also updated the company’s corporate purpose to more accurately reflect its current industrial and service activities after the mergers of La SIA and Powerflex, and amended the bylaws to formally allow shareholders’ meetings to be held entirely via telecommunications without a physical venue, without triggering withdrawal rights for investors. In addition, the meeting granted the board a new, flexible mandate to raise share capital by up to a nominal €2.5 million, through the issue of up to 10 million new ordinary shares by 2031, with or without pre-emptive rights and potentially in support of incentive plans, equipping management with a tool to fund future extraordinary transactions and strengthen Mare Group’s financial and strategic agility.
