On March 27, 2026, Main Street Capital Corporation entered into an underwriting agreement with RBC Capital Markets to issue an additional $200 million of 6.95% notes due 2029, which were sold in a public offering that closed on March 31, 2026. These new notes form a single, fungible series with the $350 million of 6.95% notes issued in January 2024, bringing the total outstanding principal of this 2029 debt to $550 million and maintaining equal ranking with Main Street’s other unsecured obligations while remaining structurally subordinated to subsidiary-level debt.
The notes pay 6.95% interest semiannually, mature on March 1, 2029, and include standard redemption and change-of-control repurchase features, as well as covenants tied to Investment Company Act asset coverage and ongoing financial disclosure. Main Street received approximately $202.8 million in net proceeds and plans to initially use the capital to repay outstanding borrowings under its credit facilities, which should reduce near-term funding costs and give the lender additional balance sheet flexibility for future investments.
