Magnetic Resources has secured initial court approval to proceed with a scheme of arrangement under which Genesis Minerals will acquire 100% of its shares, marking a significant step toward the company’s proposed takeover. The Supreme Court of Western Australia has ordered the convening of a hybrid shareholder meeting on 3 June 2026 and approved the dispatch of a detailed scheme booklet, which will include an independent expert’s report and participation instructions.

If approved by the requisite majorities and the court, the deal will see shareholders receive cash and new Genesis shares, Magnetic delisted from the ASX, and Genesis shares issued and trading by late June 2026, reshaping ownership and consolidation dynamics in the mid-tier gold sector.
