The committee must comprise at least three members with a majority of independent non-executive directors, include at least one member of a different gender, and be chaired by either the board chairman or an independent non-executive director, reflecting heightened governance and diversity expectations.

Operationally, the framework prescribes at least annual meetings, clear quorum rules requiring two independent non-executive directors, structured agenda circulation, and full access to management and external professional advice at the company’s expense. The committee is also tasked with annually assessing its own effectiveness and its terms of reference, maintaining detailed minutes, and reporting its decisions and recommendations to the board, signalling a tighter governance structure and more transparent nomination practices for stakeholders.
