On June 18, 2025, M3-Brigade Acquisition V Corp. issued a convertible promissory note to its sponsor, M17 Sponsor, LLC, allowing the company to borrow up to $2,500,000. The company borrowed $500,000 on the same date. On July 16, 2025, the company and the sponsor amended the note to correct a scrivener’s error, adjusting the conversion price of the Private Placement Warrants from $1.50 to $1.00 per warrant. This amendment does not alter any other terms of the original note.
