Loomis AB ( (SE:LOOMIS) ) has issued an announcement.

Loomis AB’s Annual General Meeting approved the 2025 financial statements and declared an ordinary dividend of SEK 15 per share along with an extraordinary dividend of SEK 5 per share, underscoring robust cash generation and a shareholder-friendly capital return policy. The meeting also discharged the board and CEO from liability, re‑elected all existing directors with Lars Blecko remaining as chair, set updated board and committee fees, and re‑appointed Deloitte AB as auditor for another year.

Shareholders backed a new performance-based long‑term incentive program for around 80 senior managers that links share awards to earnings-per-share growth and CO2 emissions reduction, signaling a stronger alignment between management rewards, profitability, and sustainability goals. The AGM further authorized share buybacks and transfers to manage capital structure and fund acquisitions, and approved the cancellation of 1.5 million treasury shares combined with a bonus issue, leaving share capital unchanged but reducing outstanding shares to 67 million, which may support earnings per share over time.
