Lindab International AB ( (SE:LIAB) ) has shared an update.

Lindab International AB’s Annual General Meeting reappointed the existing Board members, added Joonas Sandholm, and confirmed Peter Nilsson as Chairman, while also renewing Deloitte AB as auditor and approving the 2025 financial statements with discharge of liability for the Board and CEO. Shareholders backed a dividend of SEK 5.60 per share payable in two instalments, set new remuneration levels for the Board and committees, updated the rules for the Nomination Committee, and approved the Board’s remuneration report.

The Meeting introduced a new long-term Performance Share Plan 2026 for up to 50 key employees, funded partly through authorisation to acquire and transfer up to 172,520 treasury shares, with total estimated costs of about SEK 17.7 million including social charges. The Board also received broad mandates to repurchase up to 10% of the company’s shares and to issue new shares, warrants, or convertibles up to another 10% of capital, providing flexibility to adjust capital structure, support shareholder value, and finance future acquisitions or strengthen the balance sheet.
