Liberty Broadband Proposes All-Stock Merger with Charter

Liberty Broadband ( (LBRDA) ) has issued an announcement.

Liberty Broadband Corporation has made a counterproposal to Charter Communications for a potential all-stock merger, suggesting an exchange of Liberty Broadband common stock for Charter Class A common stock. The proposed transaction, aiming to be tax-free, includes refinancing Liberty Broadband’s debt and would result in a unified structure enhancing trading liquidity. Subject to board and shareholder approvals, along with regulatory consents, the merger is poised to provide clarity and continue the strong partnership, with an intended closing date set for June 30, 2027.
