Kudelski SA reported that shareholders at its 2026 Annual General Meeting approved all board proposals by a strong majority, endorsing the 2025 annual report, financial statements, consolidated accounts, profit allocation and non-financial report. Investors also backed the compensation report and granted discharge to the Board of Directors and Executive Board for 2025, signaling solid support for management’s strategy and governance.

All incumbent board members standing for re-election secured new one-year mandates, with Chairman André Kudelski confirmed in his role, while long-serving director Patrick Foetisch retired after more than 35 years of service. The meeting elected former KPMG partner Hélène Béguin to the board, renewed the Remuneration and Nomination Committee and reappointed PricewaterhouseCoopers as auditor, underscoring continuity in oversight alongside a targeted strengthening of financial and audit expertise.
