Kropz Plc has launched a £917,431 equity fundraising to secure short-term working capital, after loan-structure constraints in South Africa limited the flow of funds from its Elandsfontein operation to cover group-wide costs, including the Hinda project. The raise, priced at a 5 per cent discount and largely underwritten by major shareholder ARC, will also see a corresponding reduction in ARC’s undrawn loan balance, modest dilution of existing shareholders and further entrenchment of ARC’s majority control, subject to South African exchange control approval.
The fundraising combines a conditional subscription by ARC with a retail offer via WRAP, giving minority investors the chance to participate on the same terms while ensuring the full target amount is raised. Alongside the financing move, Kropz reported record monthly output at Elandsfontein in December 2025 and strong nine-month production and sales figures, underlining operational progress even as the company continues to rely heavily on ARC’s financial backing and convertible funding structures, which could significantly increase ARC’s already dominant stake on full conversion.
