KORE Group Holdings, Inc. has agreed to be acquired by KONA Parent, L.P. under a merger agreement signed on February 26, 2026, in which KONA Merger Sub Co. will merge into KORE, leaving KORE as a wholly owned subsidiary of KONA Parent. At the effective time of the merger, each outstanding share of KORE common stock, other than certain excluded or rolled-over shares and appraisal shares, will be converted into the right to receive $9.25 in cash, without interest and subject to applicable withholding taxes.

The merger agreement allows KONA Parent and its affiliates a 15-business-day window from signing to enter additional rollover agreements with other shareholders for up to 2.5 million as-converted shares. On March 17, 2026, KORE and KONA Parent secured key rollover, voting, and support agreements with Dotmar Investments Limited, Richard Burston, and Terrdian Holdings Inc., covering more than 2.18 million KORE shares, bolstering voting support for the transaction and increasing the likelihood that the cash buyout and take-private transaction will be completed as structured.
