On February 16, 2026, Nakamoto Inc. exercised its option to acquire BTC Inc. and UTXO Management and signed definitive merger agreements that will make both targets wholly owned subsidiaries. The all-stock transaction, valued at about $107.3 million based on Nakamoto’s February 13, 2026 share price, will deliver roughly 363.6 million new shares to BTC and UTXO securityholders, subject to customary adjustments and holdbacks.
