Kakaku ( (JP:2371) ) just unveiled an announcement.
Kakaku.com has approved a partial amendment to its previously announced plan to dispose of treasury shares as restricted share remuneration for executive officers. The change centers on modifications to the restricted share allotment agreements, which define how equity compensation is granted and managed for eligible executives.
Under the revised terms, the company will individually amend allotment agreements with executive officers to add new conditions for lifting transfer restrictions on the granted shares. If a tender offer for Kakaku.com’s shares begins and the board supports the bid and recommends shareholders to tender, executives may request the removal of transfer restrictions to participate.
Should an executive fail to tender all or part of their shares in a successful tender offer, the company will acquire the untendered shares without consideration on the business day after the offer period ends. If an executive tenders shares but the tender offer fails, the temporary removal of transfer restrictions will be reversed and the returned shares will again be subject to the original lock-up conditions.
The amendment refines Kakaku.com’s equity compensation scheme to align executive incentives with shareholder outcomes in potential takeover scenarios. By clarifying treatment of restricted shares during tender offers, the company aims to ensure consistent handling of management stock while preserving control over untendered shares and maintaining orderly corporate governance in event-driven situations.
