On October 24, 2025, Jupiter Neurosciences, Inc. entered into a Standby Equity Purchase Agreement (SEPA) and related Registration Rights Agreement with YA II PN, Ltd. (Yorkville), enabling the investor to purchase company common stock under specified conditions, with the securities offered in reliance on a private placement exemption. The company subsequently had a resale registration statement on Form S-1 declared effective by the SEC on December 11, 2025, obtained shareholder approval on December 19, 2025 to issue more than 19.99% of its outstanding stock to Yorkville as required by Nasdaq rules, and on December 23, 2025 completed a second prepaid advance closing under the SEPA, receiving $1.86 million in exchange for a second convertible promissory note and preserving the right, at its discretion, to direct future share purchases from Yorkville up to volume-based limits, thereby expanding its equity financing flexibility.
