Jiu Rong Holdings Limited has terminated its planned disposal of a subsidiary after failing to reach a final agreement with the prospective buyer by the extended deadline of 31 December 2025. The buyer and its affiliates issued a formal notice on 3 February 2026 confirming the termination of the letter of intent and related supplemental agreements and demanding the refund of all advance payments. Following this termination, the group must refund a total of RMB205 million in advance payments, comprising RMB165 million previously disclosed and an additional RMB40 million received in August 2024, within 30 days of receiving the notice. From 1 January 2026, the relevant subsidiary is also liable for a capital occupation fee on this amount, calculated at the one‑year Loan Prime Rate plus 50 basis points, with repayments applied first to principal and all outstanding fees to be settled in a lump sum once principal is fully repaid, affecting the company’s short-term liquidity and financing costs.
