Jindalee Lithium’s U.S. subsidiary HiTech Minerals has signed a binding Business Combination Agreement with SPAC Constellation Acquisition Corp I to create US Elemental Inc., which is expected to list on NASDAQ and hold Jindalee’s U.S. assets, including the McDermitt Lithium Project in Oregon. The deal implies a pro forma enterprise value of about US$571 million, includes a planned US$20–30 million capital raise with a binding US$4 million commitment from an affiliate of Antarctica Capital, and is structured so Jindalee retains a majority stake, aiming to tap U.S. capital markets to fund drilling, metallurgical work and feasibility studies while reinforcing its position in the domestic lithium supply chain.
Completion of the transaction is subject to customary conditions, including approvals from Constellation and Jindalee shareholders and a minimum cash condition of US$14 million, after which US Elemental would provide a dedicated U.S.-listed platform to advance McDermitt and broader strategic initiatives. Management from both Jindalee and Constellation highlight that improving lithium market conditions, rising demand from battery and energy storage systems, and increasing U.S. policy support for critical minerals underpin the timing and strategic rationale, with the NASDAQ listing expected to enhance funding options and potentially strengthen the project’s role in meeting domestic battery material needs.
