Japan Gold ( (TSE:JG) ) just unveiled an update.

Japan Gold Corp. has arranged a US$1 million non-brokered private placement of unsecured convertible debentures with major shareholder Equinox Partners Investment Management. The three-year debenture carries 10% annual interest and may be repaid or converted into common shares under specified pricing conditions, with proceeds earmarked for general working capital.

The financing strengthens Japan Gold’s balance sheet and deepens its ties with strategic investor Equinox, which already owns about 29% of the company. As a related-party transaction under Canadian securities rules, the deal proceeds under exemptions from formal valuation and minority approval requirements, and remains subject to final TSX Venture Exchange approval, potentially affecting existing shareholders through future share issuance on conversion.

The most recent analyst rating on (TSE:JG) stock is a Hold with a C$0.11 price target. To see the full list of analyst forecasts on Japan Gold stock, see the TSE:JG Stock Forecast page.
