IQE plc ( (GB:IQE) ) has issued an update.
IQE has completed a placing and retail offer, issuing more than 65 million new shares at 19.8 pence to raise £13 million, as part of a wider capital raise alongside a strategic MACOM investment and the reinvestment of convertible loan notes. The overall fundraising is expected to deliver £81 million in gross proceeds, subject to shareholder approval at a 15 May general meeting and regulatory clearances under UK national security and Italian foreign direct investment rules.
If shareholders fail to back the resolutions, the fundraising will lapse and IQE warns it would need emergency financing to meet short-term liquidity needs, with its financial position and prospects deteriorating as a result. Major investors Lombard Odier and Artisan Partners are participating in the placing, triggering related-party transaction rules but deemed fair and reasonable by independent directors, while the enlarged share capital will rise to about 1.31 billion shares once admission to AIM becomes effective.
