On February 11, 2026, Investindustrial completed its acquisition of TreeHouse Foods in an all-cash transaction valuing the company at $2.9 billion, plus potential additional value via contingent value rights tied to litigation proceeds. TreeHouse shareholders are receiving $22.50 per share in cash—a 38% premium to the pre-rumor close on September 26, 2025—along with one non-transferable CVR per share, and TreeHouse is being delisted from the NYSE and converted into a private company under Investindustrial’s ownership.

To support the leveraged buyout, TreeHouse and its new parent put in place a $1.0 billion senior secured term loan, a $400 million asset-based revolving facility and $800 million of 7.750% senior secured notes due 2033, while repaying and terminating the prior credit agreement and discharging $500 million of 4.000% senior notes due 2028. The merger also triggered a full cash-and-CVR exit for equity holders and in-the-money options and awards, a changeover of the board and corporate governance documents, and the loss of public-company status and reporting obligations, reshaping TreeHouse’s capital structure and shareholder base.
