International Prospect Ventures Ltd. is planning to issue 1.2 million common shares to settle $60,000 of debt and is launching a private placement to raise $300,000, offering 6 million units at $0.05 each. The shares and units will be subject to a four-month hold period, with the transactions positioned as related party dealings under exemptions provided by market regulations. Participation by company directors and officers in the private placement is anticipated, also under specific regulatory exemptions.
