The proceeds will support working capital needs ahead of the company’s stake disposal in the Irish Avalonia project. The closing of the offering is contingent on TSX Venture Exchange approval, and the involvement of company insiders constitutes related party transactions exempt from formal valuation requirements. Upon completion, John Wisbey is expected to become a new Control Person as per TSX policies.
