Instalco AB ( (SE:INSTAL) ) has shared an update.
Instalco AB’s annual general meeting approved all proposals from the board and nomination committee, including adoption of the 2025 financial statements and a dividend of SEK 0.50 per share to be paid in May. Shareholders also granted discharge from liability to the board and CEO, re-elected all current directors with Johnny Alvarsson as chair, confirmed Grant Thornton Sweden AB as auditor with a new auditor-in-charge, and approved the remuneration report and updated guidelines for senior management pay.
The meeting further approved a long-term incentive programme of up to 1,950,000 warrants for senior managers and key employees, allowing future share subscriptions at a premium to the current market price between May and June 2029. In addition, the board received broad authorisation to issue new shares, convertible bonds and warrants up to 10 percent of the share capital and to buy back and transfer up to 5 percent of its own shares, strengthening Instalco’s financial and strategic flexibility for future growth initiatives and capital management.
