Informa PLC has announced a recommended cash offer to acquire Ascential plc, with the transaction expected to close in the fourth quarter of 2024, subject to shareholder approval and other stated conditions. Financing for the acquisition has been arranged through a Term Facility Agreement, which has recently been amended and syndicated successfully by Morgan Stanley Bank. The acquisition is to be executed through a scheme of arrangement as detailed in the Scheme Document available on both companies’ websites.
