Immersion Corporation has filed a Form 12b-25 indicating it will delay its Form 10-Q (Quarter Report) for the quarter ended January 31, 2026. The company is behind on several SEC filings and is still working through the effects of a major restatement of past financial statements.

The delay stems from extensive work tied to restating results for multiple prior quarters, which had previously been deemed unreliable by the board. Those restated figures were incorporated into its Form 10-K (Yearly Report) for the year ended April 30, 2025 and an amended Form 10-K/A (Yearly Report), both only recently filed in March 2026.

Because resources remain focused on completing and aligning all affected periods, management says filing the latest Form 10-Q (Quarter Report) on time would require unreasonable effort or expense. The company also has yet to file its Form 10-Q (Quarter Report) for the quarters ended July 31, 2025 and October 31, 2025.

Immersion expects to submit the January 31, 2026 Form 10-Q (Quarter Report) as soon as practicable, but only after it files the missing Form 10-Q (Quarter Report) reports for July 31, 2025 and October 31, 2025. Under SEC rules referenced in the notice, a late quarterly report is generally expected within five calendar days of the original due date, though the company does not give a specific date.

The company states it does not anticipate any significant change in results of operations versus the same quarter a year earlier to be reflected in the delayed filing. Investors should note that this expectation, and other statements about timing and future filings, are forward-looking and subject to the usual risks and uncertainties.

Immersion emphasizes that it is working diligently to complete the outstanding quarterly reports and remain in compliance with SEC reporting requirements. The notification was signed on March 18, 2026, by Chief Financial Officer J. Michael Dodson, underscoring executive-level oversight of the remediation and filing process.

The most recent analyst rating on (IMMR) stock is a Hold with a $7.00 price target. To see the full list of analyst forecasts on Immersion stock, see the IMMR Stock Forecast page.
