Iberdrola ( (IBDRY) ) has shared an announcement.
Iberdrola Finanzas, a wholly owned subsidiary of Iberdrola, has priced a €600 million issue of green perpetual subordinated notes in the euro market, fully guaranteed on a subordinated basis by Iberdrola. The notes, issued in €100,000 denominations at par, carry a fixed annual coupon of 3.95% until March 9, 2033, after which the rate will reset every five years to the prevailing 5‑year swap rate plus step-up margins.
From the first reset date, margins will range from 1.420% to 2.420% depending on the reset period, and Iberdrola Finanzas may defer interest payments without triggering default, with deferred amounts becoming cumulative and payable under defined conditions. The issuer also retains call options to redeem the securities on specified dates or in certain circumstances, and the transaction, placed by a syndicate of international banks under the EMTN programme, is expected to settle on March 9, 2026, reinforcing Iberdrola’s access to hybrid, green-aligned funding instruments within European capital markets.
