Iberdrola’s board has called its 2026 General Shareholders’ Meeting for 29 May 2026, with a packed agenda covering approval of the 2025 annual accounts, management and sustainability reports, board performance and a new long-term incentive plan for group professionals. The meeting will also vote on director remuneration, a refreshed remuneration policy for directors and executives, and the re-election or ratification of several independent and executive board members, while setting the board size at 14.

Financially, shareholders will decide on the allocation of 2025 profit, including a supplementary dividend via the Iberdrola Retribución Flexible scrip scheme, two bonus share capital increases with a combined reference market value of up to €5.3 billion, and a related capital reduction through cancellation of up to 182,845,603 treasury shares. The board is also proposing an engagement dividend of €0.005 gross per share conditional on a 70% quorum and approval at the meeting, alongside renewing the audit mandate with KPMG for 2026, appointing PwC as auditor for 2027–2029 and authorising future share buybacks, underscoring active capital management and governance continuity.
