IAC/InteractiveCorp. ( (IAC) ) has issued an announcement.

On April 3, 2026, IAC Inc. entered into a voting agreement with MGM Resorts International and Barry Diller that effectively caps the voting power of IAC, Mr. Diller and their controlled affiliates above 25.73% of MGM’s outstanding voting securities. Any voting stake above that threshold must be cast proportionally with the votes of MGM shareholders excluding these covered entities, limiting the potential for IAC and Diller to unilaterally control key shareholder decisions while preserving their economic interest.

The agreement automatically terminates if the covered entities’ collective stake falls below 17.5% of MGM’s voting securities, if the MGM board fails to nominate up to two IAC-designated qualified directors, or if a change of control occurs at MGM. Governance influence is reinforced by MGM’s obligation to add IAC-designated directors within one month when fewer than two are serving, while future changes in Barry Diller’s roles and ownership at IAC could release his affiliated entities from the voting restrictions, reshaping the balance of influence among major MGM shareholders.
