The Takeovers Panel has outlined concerns over Humm Group Limited’s compliance with an undertaking related to insider participation and conflict management, given in response to an application by Akat Investments Pty Ltd about control of the company. Humm had agreed to form an independent board committee to evaluate a takeover proposal from Credit Corp Group Limited, appoint its chief executive to the board, and recruit an additional independent non‑executive director through a consultant approved by the Panel.
