Hub Group, Inc. has filed a Form 12b-25, notifying investors that it will delay its Annual Report on Form 10-K (Yearly Report) for the year ended December 31, 2025. The late filing centers on the need to address materially misstated unaudited financial statements from its 2025 quarterly periods.
The company’s Audit Committee previously determined that its Form 10-Q (Quarter Report) filings for the quarters ended March 31, June 30 and September 30, 2025 should no longer be relied upon. Hub Group must restate these Q1, Q2 and Q3 2025 reports before it can complete and file the 2025 Form 10-K (Yearly Report).
This restatement work, along with a still‑unfinished year-end close, made it impractical to file the annual report by the March 2, 2026 deadline without unreasonable effort or expense. The company has therefore triggered the standard extension permitted under SEC rules via the Form 12b-25 process.
Hub Group states that it expects to file the 2025 Form 10-K (Yearly Report) within the 15‑day extension window allowed for annual reports. However, it warns that further delays could occur depending on the progress of the restatement and the completion of the year-end audit.
The company is also evaluating whether prior years’ consolidated financial statements for 2024 and 2023 require adjustments. At the same time, management is assessing the effectiveness of disclosure controls and procedures and internal control over financial reporting across these periods.
Hub Group expects to conclude that its disclosure controls and internal control over financial reporting were not effective for the year ended December 31, 2025. Investors should see this as a governance red flag, although the company has indicated it is considering appropriate remediation steps to strengthen its control environment.
The company has acknowledged that a significant change in results of operations versus the prior year is anticipated in the forthcoming 2025 earnings statements. Yet, because the restatement and year-end close are not complete, Hub Group says it cannot currently provide a reasonable quantitative estimate of the impact.
