Home REIT PLC ( (GB:HOME) ) has shared an update.
Home REIT has completed the sale of 706 properties, representing most of its portfolio, to Patron Capital for £123 million, receiving initial net proceeds of £94.2 million and a further £25 million due in April 2027 under a bank-guaranteed deferred payment. The remaining properties, valued at £17.35 million as of August 2025, are largely expected to be sold in the first half of 2026, with 29 already exchanged for £4.67 million in line with their latest valuation.
Following this major disposal, the board is prioritising how and when to return capital to shareholders but notes that distributions remain constrained by ongoing and potential group litigation and associated defence costs. The company plans to channel any capital return through a solvent members’ voluntary liquidation, has appointed Ernst & Young to advise on preparations in the second quarter of 2026, and is working with regulators on restoring its listing ahead of an eventual cancellation upon liquidation.
Home REIT stresses that entering liquidation would not prevent it from pursuing legal claims to recover losses, subject to cost-benefit analysis, and any move to liquidate will depend on progress in the managed wind-down, stakeholder engagement, and a detailed assessment of its financial position. The board expects to provide further updates to shareholders during the second quarter of 2026 as it advances property sales, regulatory discussions, and the design of the capital return mechanism.
